Terms of Service

1. INTRODUCTION These Terms and Conditions (“Agreement”) govern your access to and use of the ShopHelp AI chatbot service (“Service”) provided by ShopHelp (“Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these Terms, you may not access or use the Service.

2. DEFINITIONS  “Customer” refers to you, the individual or entity accessing or using the Service.

“Customer Data” refers to all information, content, and materials provided by Customer while using the Service.

 “Intellectual Property Rights” refers to all current and future rights in patents, copyrights, trademarks, trade secrets, and other proprietary rights under any jurisdiction.

3. SERVICE DESCRIPTION ShopHelp is a customizable AI chatbot solution designed for e-commerce businesses to manage customer interactions and support.

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time without prior notice.

4. ACCESS AND USE OF THE SERVICE We grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Service solely for your internal business purposes.

You agree not to:

  • Reverse engineer or decompile the Service.

  • Modify or create derivative works of the Service.

  • Use the Service for unlawful or unauthorised purposes.

  • Interfere with the performance or integrity of the Service.

  • Attempt unauthorized access to the Service.

5. CUSTOMER RESPONSIBILITIES  You are solely responsible for all Customer Data and ensuring your use complies with applicable laws.

You represent and warrant that you have all necessary rights to provide the Customer Data and allow us to use it as described.

6. FEES AND PAYMENT Fees are based on token usage as per the selected OpenAI model integration (e.g., GPT-4). Pricing is usage-based rather than fixed monthly subscriptions.

All fees are billed in U.S. dollars and are non-refundable unless explicitly stated otherwise.

7. PROPRIETARY RIGHTS We retain all rights to the Service and its related intellectual property.

You retain ownership of your Customer Data. You grant us a limited license to use it only to provide the Service.

8. CONFIDENTIALITY  Both parties agree to protect any confidential, non-public information shared during use of the Service.

 Confidential information shall not be disclosed or used for purposes beyond this Agreement.

9. DATA PRIVACY AND SECURITY We implement appropriate security measures to protect Customer Data against unauthorized access and loss.

10. WARRANTIES AND DISCLAIMERS We warrant that the Service will operate materially in accordance with its documentation under normal use.

EXCEPT AS STATED, THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND.

11. LIMITATION OF LIABILITY  WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

12. INDEMNIFICATION You agree to indemnify and hold harmless ShopHelp from claims or liabilities arising from your use of the Service or violation of this Agreement.
